TOWN OF COOKS VALLEY
Special Town Board Meeting
September 13, 2016

The Special Town Board meeting of the Town of Cooks Valley was called to order on September 13, 2016 at the Cooks Valley town hall located at 15751 40th Street at 7:30 pm by Chairman Darrel Fehr.  Supervisors present were David Clements and Matt Borofka.  Other town official present was Victoria Trinko-clerk.
Discussion on road use of 135th Avenue/40th Street by PurFrac:  Representatives of PurFrac and EOG talked on the Sunday prior to the meeting where they discussed basing an agreement on the number of loads and tons.  The County has recommendations.  The road is in excellent condition.  Dan Fedderly has done an analysis of the road and the specifications are there that the town signed off on for the road agreement.  The analysis states-in order to maintain the cycle of the road, it require a two inch overlay with the additional trucks and loads.  The previous reconstruction of the road used every inch of road right-of-way. An additional two inches of overlay may require a change of slope to the ditch and thus require additional right-of-way.  The representative for EOG wanted to make clear that PurFrac would need to pay for the upgrading and splitting the maintenance payment of the road.  The numbers established when the road was built were based on only EOG using the road.  Dan Fedderly will do an analysis of the width of the road; apply the two inch overlay and see where there will need to be adjustments.  PurFrac agreed to pay for the Fedderly analysis but want an estimate of the cost of the analysis prior to payment.  Dan Fedderly will contact Chairman Darrel Fehr about the price of the study.  Darrel Fehr will contact PurFrac.  There may be a combination of curb and gutter, milling down of the road and adjustment of the road right-of-way.  There was discussion of the possibility of PurFrac not doing anything with upgrading the road and pick up the tab for all of the maintenance of the road.  Since maintenance could reduce production of the EOG mine, EOG would not agree to that proposal.  EOG has put a significant amount of money into the road and they want to protect their investment. 
In conclusion, Dan Fedderly will work up a proposal for what the analysis will cost; give the cost proposal to Darrel Fehr; and Darrel Fehr will contact PurFrac to continue the discussion.  The timeline for this procedure will be this week.  PurFrac will pay for Dan Fedderly’s time attending the meeting.  
Adjourn:  David Clements made a motion to adjourn at 7:59 pm.  Matt Borofka seconded the motion.  The motion carried 3-0.
